What's a Contract?

• Legally binding agreement between two or more parties creates obligations each party must fulfill
• Outlines specific terms parties agree to can include payment, goods or services provided, and timeline
• Requires offer, acceptance, and consideration to be valid
• Enforceable by law if one party fails to meet their obligations outlined in the contract
• Used in various contexts such as employment, real estate transactions, and business deals
• Provides clarity and protection for all parties involved by clearly defining expectations and responsibilities
• Can be written or verbal, though written contracts provide more solid legal ground

Key Elements of a Valid Contract

• Offer a clear, definite proposal by one party (offeror) to another (offeree) to enter into a contract
  • Must include essential terms like price, quantity, and subject matter
  • Can be revoked by the offeror before acceptance
• Acceptance unequivocal agreement to the terms of the offer by the offeree
  • Must mirror the terms of the offer (mirror image rule)
  • Can be expressed through words, actions, or sometimes inaction
• Consideration something of value exchanged between parties serves as the bargaining chip
  • Often money, but can also be goods, services, or a promise to do (or not do) something
• Capacity legal ability of parties to enter into a contract
  • Minors, mentally impaired, and intoxicated individuals may lack capacity

Types of Contracts

• Express contracts terms are explicitly stated, either orally or in writing
• Implied contracts created by the conduct of the parties, even without express agreement
  • Implied-in-fact contracts inferred from the actions of the parties
  • Implied-in-law contracts (quasi-contracts) imposed by law to prevent unjust enrichment
• Unilateral contracts promise made by one party in exchange for the act of another (reward for finding lost pet)
• Bilateral contracts exchange of promises between two parties each promise serves as consideration for the other
• Executed contracts all parties have fulfilled their obligations
• Executory contracts one or more parties still have obligations to perform

Forming a Contract

• Offer made invitation to enter into a contract must be clear, definite, and communicated to the offeree
• Acceptance offeree agrees to the terms of the offer can be through words, actions, or sometimes inaction
  • Silence generally does not constitute acceptance
  • Counteroffer a response that changes terms of the original offer, rejecting it and proposing a new offer
• Consideration bargained-for exchange of value between parties often money, goods, services, or a promise
• Intention to create legal relations parties must intend to be legally bound by the agreement
  • Social and domestic agreements often lack this intention
• Certainty terms must be clear and unambiguous to be enforceable
• Capacity parties must have legal ability to enter the contract (age, mental state)
• Formalities some contracts require specific form (writing) or action (notarization) to be valid

Contract Terms and Conditions

• Express terms explicitly stated in the contract, either orally or in writing
  • Includes key provisions like price, quantity, delivery date, and payment terms
• Implied terms not expressly stated but inferred from the conduct of parties or circumstances
  • Can be based on custom, trade usage, or legal principles (good faith, reasonableness)
• Conditions precedent event that must occur before a party's performance is due (obtaining financing)
• Conditions subsequent event that ends a party's obligation to perform (goods failing inspection)
• Warranties assurances about the quality or performance of the subject matter
  • Express warranties explicitly stated by the seller
  • Implied warranties imposed by law (merchantability, fitness for particular purpose)
• Representations statements of fact made to induce a party to enter the contract
  • Misrepresentations can make the contract voidable
• Exclusion clauses attempt to limit or exclude a party's liability for breach or negligence
  • Subject to strict interpretation and may be unenforceable if unconscionable

When Contracts Go Wrong

• Breach failure of a party to perform their obligations under the contract
  • Material breach substantial failure to perform, gives rise to damages and may allow termination
  • Minor breach less significant, usually remedied by damages
• Anticipatory breach clear indication by a party that they will not perform when performance is due
  • Allows the non-breaching party to immediately claim damages
• Impossibility contract becomes impossible to perform due to unforeseen event (destruction of subject matter)
  • Excuses non-performance and terminates the contract
• Frustration contract becomes pointless due to unforeseen event, but performance is still possible
  • Excuses non-performance and terminates the contract

Ending a Contract

• Performance all parties fulfill their obligations under the contract

  • May involve one party paying the other to be released from the contract

• Impossibility contract becomes impossible to perform due to unforeseen event, terminating the contract
