What's a Contract?

• Agreement between two or more parties creates legally enforceable obligations
• Outlines specific terms, conditions, and promises that must be fulfilled by all involved parties
• Requires meeting of the minds, meaning all parties understand and agree to the contract's terms
• Can be written, oral, or implied through actions or conduct (written contracts provide clearest evidence)
• Contracts are governed by state laws, which may vary in their specific requirements
• Breach of contract occurs when one party fails to fulfill their obligations outlined in the agreement
• Contracts play a crucial role in business transactions, employment agreements, and personal dealings

Key Elements of a Valid Contract

• Offer made by one party clearly states the terms and conditions of the proposed agreement
• Acceptance of the offer by the other party indicates their willingness to be bound by the terms
• Consideration exchanged between parties, often in the form of money, goods, or services
• Capacity of all parties to enter into the contract, meaning they are of legal age and sound mind
• Legality of the contract's purpose; contracts for illegal activities are void and unenforceable
• Genuine assent from all parties without coercion, duress, or undue influence
• Certainty of terms, ensuring the contract is clear, specific, and unambiguous

Types of Contracts

• Bilateral contracts involve mutual promises between two parties (employment agreements)
• Unilateral contracts require action by one party to be binding (reward for finding lost pet)
• Express contracts are explicitly stated, either orally or in writing
• Implied contracts are inferred from the actions or conduct of the parties
• Executed contracts have been fully performed by all parties involved
• Executory contracts have yet to be fully performed and obligations are outstanding
• Void contracts are invalid from the start due to illegality, impossibility, or lack of capacity

Offer and Acceptance

• Offer is a clear, definite proposal to enter into a contract with specific terms and conditions
  • Must be communicated to the offeree and demonstrate intent to be bound upon acceptance
• Acceptance is an unequivocal agreement to the terms of the offer without modification
  • Can be expressed through words, actions, or performance, depending on the type of contract
• Counteroffer is a response to an offer that modifies the original terms, effectively rejecting the initial offer
• Offer can be revoked by the offeror before acceptance, unless it's an option contract or firm offer
• Acceptance must be communicated to the offeror, except in unilateral contracts where performance suffices

Consideration

• Bargained-for exchange of value between parties, often money, goods, or services
• Must be legally sufficient, meaning it has value and is not merely a token or gift
• Consideration can be a promise to do something (perform) or refrain from doing something (forbearance)
• Past consideration generally does not support a contract, as it has already occurred
• Adequacy of consideration is typically not scrutinized by courts, as long as it has legal value
• Illusory promises, which lack genuine commitment, do not constitute valid consideration

Capacity and Legality

• Capacity refers to a party's legal and mental ability to enter into a contract
  • Minors (typically under 18) can disaffirm most contracts, except for necessities
  • Mental incapacity, such as severe cognitive impairment, can render a contract voidable
• Legality of the contract's purpose is essential for enforceability
  • Contracts for illegal activities (crime, fraud) are void ab initio (from the beginning)
• Unconscionable contracts, which are extremely one-sided or oppressive, may be unenforceable
• Public policy considerations may also render certain contracts unenforceable (restraint of trade)

Contract Formation Process

• Statute of Frauds requires certain types of contracts to be in writing to be enforceable
  • Contracts for sale of goods over $500, contracts that cannot be performed within one year, etc.
• Ambiguous or unclear terms can lead to disputes over contract interpretation
• Failure to read or understand contract terms does not typically excuse a party's obligations
• Oral modifications to written contracts can create enforcement issues and may be barred by the contract itself
